These Terms & Conditions (“Agreement”) are between Gro.Inc (“we,” “our,” or “us”) and you (“Client,” “you,” or “your”) as a user of our software platform and related services (“the Service”).
Service Description
The Service includes access to our software platform, communication tools (including SMS, MMS, email, and voice), marketing automation, CRM features, and related support services offered by Gro.Inc.
SMS & Communication Consent
By providing your phone number and opting in to receive communications, you expressly consent to receive SMS/MMS messages from Gro.Inc, which may include:
- Appointment reminders
- Service notifications
- Marketing and promotional messages
- Account-related updates
Message frequency varies.
Message and data rates may apply.
You may opt out at any time by replying:
- STOP to unsubscribe
- HELP for assistance
You agree that:
- You will only provide phone numbers for individuals who have given explicit consent to receive messages
- You are responsible for maintaining proof of opt-in where required
Gro.Inc is not responsible for messages sent to contacts without proper consent.
Subscription & Renewal
Your subscription starts on the date you receive access to the Service. Subscriptions automatically renew monthly or annually based on your selected plan unless canceled at least 30 days prior to renewal. We may adjust pricing with 30 days’ notice.
Payment Terms
You agree to pay all subscription and service fees in full. Payments are due based on your selected billing cycle.
- Late payments may result in suspension or termination
- All payments are non-refundable unless required by law
Acceptable Use & Messaging Compliance
You agree not to use the platform for unlawful, abusive, or non-compliant communication practices.
Prohibited activities include:
- Sending unsolicited messages (spam)
- Messaging without proper consent (TCPA violations)
- Harassment or abusive content
- Phishing, fraud, or misleading messaging
- Sending prohibited content (including illegal products/services)
You are responsible for complying with:
- TCPA (Telephone Consumer Protection Act)
- CTIA Messaging Guidelines
- All applicable local, state, and federal laws
We reserve the right to suspend or terminate accounts for violations without notice.
Data Ownership
You retain ownership of your data. We may access, store, and process your data as necessary to provide the Service.
- Data may be deleted 30 days after cancellation
- You are responsible for maintaining backups if needed
Support & Maintenance
Support is provided via email or designated channels during normal business hours. We may update or modify platform features at any time as part of ongoing improvements.
Branding & Resale Restrictions
You may not resell, sublicense, or white-label the Service unless authorized in writing.
You may not:
- Represent Gro.Inc software as your own
- Misuse branding or intellectual property
Termination
We may suspend or terminate access at any time due to:
- Violation of these Terms
- Non-payment
- Messaging compliance violations
Upon termination:
- Access will be revoked
- Data may be deleted after 30 days
Limitation of Liability
Gro.Inc is not liable for indirect, incidental, or consequential damages, including loss of profits, data, or business opportunities.
Our total liability is limited to the amount paid by you in the previous 3 months.
Privacy
Your use of the Service is governed by our Privacy Policy.
You agree that:
- You are responsible for obtaining proper consent before messaging contacts
- You will honor all opt-out requests promptly
Changes to Terms
We may update these Terms at any time. Continued use of the Service constitutes acceptance of any updates.
Governing Law
This Agreement is governed by the laws of the State of Florida.
